These Terms of Service (“Terms”) are an agreement between you and Waypoint (“Waypoint,” “we,” “us”) governing your use of our website, apps, and related services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. Please read them carefully.
1. Eligibility
You must be at least 13 years old to use the Service. If you are under the age of majority where you live, you may use the Service only with the involvement of a parent or guardian. By using the Service, you represent that you meet these requirements and that the information you provide is accurate.
2. Your account
You are responsible for your account, including keeping your password secure and for all activity under your account. Notify us promptly of any unauthorized use. You may not share your account, impersonate others, or create an account using someone else’s information.
3. Acceptable use
By using the Service you agree to follow our Code of Conduct. You will not:
- Harass, threaten, bully, or harm others, or post hate speech, slurs, or discriminatory content.
- Post illegal, infringing, sexually explicit, or otherwise prohibited content, or expose minors to mature content.
- Impersonate any person or entity, or misrepresent events, availability, or affiliations.
- Spam, scam, phish, or distribute malware; scrape or harvest data; or interfere with the Service’s operation or security.
- Share another person’s private information or exact location without consent.
- Use the Service to facilitate illegal activity or violate any applicable law.
4. Your content
You retain ownership of the content you create and submit (“Your Content”). You grant Waypoint a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute Your Content solely to operate and improve the Service and as you direct through its features (for example, sharing a post publicly or with a guild). You are responsible for Your Content and represent that you have the rights to submit it and that it does not violate these Terms or the rights of others. We may remove content that violates these Terms or the law.
5. In-person meetups and safety
Waypoint helps people arrange to meet and play in the real world, but we do not organize, supervise, or control member-run sessions, and we do not conduct background checks on members. We do not endorse or guarantee any member, organizer, venue, game, or event. You are solely responsible for your interactions with others. Use good judgment: meet new people in public places, honor others’ boundaries, and look out for your own safety. To the fullest extent permitted by law, you assume the risks of in-person meetups and participate at your own risk.
6. AI features
The Service offers optional AI features, including an AI Game Master. AI-generated content is produced automatically and may be inaccurate, incomplete, or unexpected. It is provided for entertainment and convenience only, without warranty, and you should not rely on it as professional advice. You are responsible for how you use AI output. 7. Subscriptions, payments, and refunds
Some features require a paid subscription (such as Waypoint Pro) or one-time purchase. Prices and what’s included are shown before you buy. Payments are processed by our payment provider; by purchasing, you also agree to that provider’s terms.
- Billing & renewal — subscriptions renew automatically for the plan period until you cancel. You authorize us to charge your payment method on each renewal.
- Cancellation — you can cancel anytime from your billing settings; access continues until the end of the current period, and cancellation does not retroactively refund the current period unless required by law.
- Refunds — except where required by law or stated at purchase, fees are non-refundable. Any session or booking refunds follow the policy shown at the time of that transaction.
- Price changes — we may change prices; we will give reasonable notice, and changes apply to the next billing period.
8. Third-party services and partners
The Service links to and integrates third-party services (such as maps, sign-in, and payments) and lets you interact with venue and event partners. We are not responsible for third parties or for the products, venues, or events that partners offer. Your dealings with them, and any third-party terms, are between you and them.
9. Intellectual property
The Service, including its software, design, and trademarks, is owned by Waypoint or its licensors and is protected by law. We grant you a limited, personal, non-transferable license to use the Service subject to these Terms. Game rules content is used under applicable open licenses (such as the System Reference Document) or with attribution; we do not grant rights to any third-party copyrighted material beyond what those licenses allow.
10. Suspension and termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or our Code of Conduct, if required by law, or to protect the Service or its members. Where appropriate, we offer a way to appeal a moderation decision. Sections that by their nature should survive termination (such as content license grants already exercised, disclaimers, and limitations of liability) will survive.
11. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any content (including AI output) is accurate or reliable.
12. Limitation of liability
To the fullest extent permitted by law, Waypoint and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or US $100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless Waypoint and its affiliates from any claims, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, your interactions with others, or your violation of these Terms or the law.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. You agree to resolve disputes in the courts located there, except where applicable law gives you the right to bring a claim elsewhere. Nothing in these Terms limits any rights you have that cannot be waived under the law that applies to you.
15. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.
